Merchant Terms

This page is maintained by HolmesLabsLLC and applies to any business, organization, or individual ("Merchant") that claims a business profile or publishes listings, deals, events, jobs, or offers on AlleyCat. These Merchant Terms supplement the general Terms of Service and the Privacy Policy. This page is not legal advice.
1. Eligibility and Account
You must be authorized to represent the business you list, be at least 18 years old, and provide accurate information about the business, its ownership, and its location. We may verify eligibility and suspend accounts that appear inaccurate, impersonating, or in violation of these terms.
2. Listings and Accuracy
You are responsible for the accuracy of every listing you publish, including deals, prices, hours, menu items, events, tickets, jobs, and photos. Descriptions must be truthful, current, and not misleading. You will promptly update or remove listings that become inaccurate, sold out, or unavailable.
3. Honoring Deals and Offers
You agree to honor any deal, coupon, punch-card reward, or offer you publish according to its stated terms, during its stated availability window, and at the stated location(s). Fine print, exclusions, and expiration dates must be clearly shown at the time of publishing.
4. Payments, Fees, and Payouts
Payments made through AlleyCat are processed by third-party payment processors (such as Stripe). By accepting payments you agree to the processor's terms and authorize AlleyCat to share required information with them. Applicable subscription fees, transaction fees, or feature fees are disclosed in your dashboard before purchase.
5. Refunds, Cancellations, and Chargebacks
Unless a specific listing states otherwise, you are the merchant of record for customer transactions and are responsible for fulfilling or refunding them. Refunds follow our Refund Policy and any deal-specific terms you set. You are responsible for chargeback liability, fees, and evidence for disputes involving your listings.
6. Taxes
You are solely responsible for determining, collecting, reporting, and remitting any taxes (including sales, use, VAT, or similar) that apply to your sales, services, tips, and promotions. AlleyCat does not provide tax advice.
7. Acceptable Use and Prohibited Categories
You may not publish content or offers that are illegal, deceptive, discriminatory, or that infringe third-party rights. Prohibited categories include (but are not limited to): firearms and ammunition, controlled substances, tobacco or vaping sales to minors, adult services, multi-level marketing recruitment, cryptocurrency investment schemes, and any regulated activity you are not licensed to perform.
8. Content You Post
You retain ownership of the content you upload (logos, photos, menus, copy). You grant AlleyCat a worldwide, non-exclusive, royalty-free license to host, display, resize, and distribute that content as needed to operate and promote the platform, including in search results, category pages, and shareable previews.
9. Customer Communications
When customers follow your business, save your deals, or opt into your announcements, you may reach them through the messaging features AlleyCat provides. You may not export contact lists for outside marketing, send unsolicited messages, or use AlleyCat data to build competing products.
10. Reviews and Reports
AlleyCat may display customer reviews, comments, ratings, and community reports about your business. You may respond publicly through the reply feature and flag content that violates our rules. We do not remove reviews solely because they are negative.
11. Team Members and Permissions
You are responsible for any team members you invite to manage your business, for the permissions you grant them, and for revoking access when they leave. Sharing a single login among staff is discouraged; invite team members individually.
12. Suspension and Termination
We may suspend, limit, or remove listings, features, or accounts that violate these terms, that repeatedly trigger customer complaints or chargebacks, or that pose risk to the platform or its users. You may close your business account at any time from the dashboard, subject to open transactions and payout timing.
13. Disclaimer and Limitation of Liability
AlleyCat is provided on an "as is" and "as available" basis for merchants. To the maximum extent permitted by law, AlleyCat and HolmesLabsLLC disclaim warranties of any kind and are not liable for lost profits, lost sales, or indirect, incidental, or consequential damages arising from your use of the platform.
14. Changes to These Terms
We may update these Merchant Terms from time to time. Material changes will be communicated through your dashboard or email. Your continued use of merchant features after changes means you accept the updated terms.
